Refer & Earn — Affiliate Terms

These Affiliate Terms govern participation in the CLEAREX.MARKET Refer & Earn program (the "Program") and form an agreement between you ("Affiliate", "you") and Clearex Market, LLC (Delaware, USA). They apply in addition to our Terms of Service, which are incorporated by reference. If these Affiliate Terms conflict with the Terms of Service regarding the Program, these Affiliate Terms prevail.

1. Eligibility & Enrollment

You must hold a CLEAREX.MARKET account in good standing and be at least 18 years old.
Enrollment is via the Refer & Earn section of your dashboard, where you receive a unique referral link or code.
We may decline or revoke Program participation at our discretion, including for any conduct prohibited by Section 4.

2. Commissions

You earn a commission when a new customer signs up through your referral link or code and completes a qualifying paid membership purchase.
Commission rates, qualifying products, attribution rules, and payout thresholds are published on the Refer & Earn page of your dashboard and may be updated prospectively; updates apply to purchases made after the change, never retroactively to commissions already earned.
Commissions are paid by Clearex Market, LLC from its own revenue. The Program creates no obligation, agency, or advisory relationship between you and the customers you refer.
A commission is earned only when the underlying purchase is final. If the referred purchase is refunded, reversed, charged back, or found fraudulent, the corresponding commission is reversed (clawed back) or deducted from your pending balance.

3. Payouts

Payouts are made in cryptocurrency via NOWPayments to the payout wallet address you provide in your dashboard, once your balance reaches the published minimum threshold.
You are solely responsible for providing a correct wallet address on a supported network. Payouts sent to the address you provided are final; funds sent to an incorrect address or network you supplied may be unrecoverable.
We may withhold or delay payouts while investigating suspected fraud or Program violations.

4. Promotion Rules (Prohibited Methods)

You must not:

present CLEAREX.MARKET as providing financial or investment advice, trading signals, guaranteed profits, or assured performance of any kind — all promotion must be consistent with the Platform's informational and educational nature;
make false, misleading, or unsubstantiated claims about the Platform, its features, or potential earnings (yours or the customer's);
send unsolicited bulk messages (spam) in any channel, or post referral links in places where they are prohibited;
impersonate CLEAREX.MARKET, present yourself as our employee or agent, or register domains, social handles, or ads confusingly similar to our brand;
refer yourself, use multiple accounts, incentivise fake signups, or otherwise manufacture referrals;
target or direct promotion at minors; or
violate any applicable law, including advertising-disclosure rules.

Disclosure. Where you promote your referral link publicly, you must clearly disclose that you may earn a commission (e.g., an "#ad" or "referral link" disclosure), consistent with applicable advertising standards such as the US FTC Endorsement Guides.

5. Taxes & Compliance

You are solely responsible for all taxes, duties, and reporting obligations arising from commissions you earn.
Where required by law, we may request tax documentation or identity information (for example, an IRS Form W-9 or W-8BEN) before releasing payouts, and we may report payments to tax authorities where legally required.
Anti-fraud thresholds described in our Legal & Compliance Overview apply to Program payouts.

6. Term, Suspension & Termination

Either party may end Program participation at any time; you may stop sharing your link, and we may suspend or terminate your participation with notice.
On termination for convenience, validly earned commissions above the payout threshold will be paid out in the normal cycle. On termination for fraud or breach of Section 4, unpaid commissions are forfeited.
We may modify or discontinue the Program with 30 days' notice; discontinuation does not affect commissions already earned.

7. Relationship of the Parties

You participate as an independent party. Nothing in these Affiliate Terms creates an employment, agency, partnership, or joint-venture relationship, and you have no authority to bind Clearex Market, LLC.

8. Liability & Governing Law

Sections 13 (Disclaimers & Limitation of Liability), 14 (Indemnification), and 16 (Governing Law & Disputes) of the Terms of Service apply to these Affiliate Terms.
